The legal agreement between you and Ouech. Please read carefully.

IMPORTANT: PLEASE READ THESE TERMS OF SERVICE CAREFULLY. BY ACCESSING OR USING OUECH, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE OUR SERVICES.
These Terms of Service ("Terms" or "Agreement") constitute a legally binding agreement between you ("you," "your," or "User") and Techbay SARL-AU, a société à responsabilité limitée d'associé unique registered under the laws of the Kingdom of Morocco, with its registered office in Agadir, Morocco, operating under the brand name Ouech ("Ouech," "we," "us," or "our").
These Terms govern your access to and use of our mobile application, website, and related services (collectively, the "Services" or "Platform").

1. Definitions
For the purposes of these Terms, the following definitions apply:
- "Account" means your registered account on the Platform, identified by your phone number.
- "Broker" means a User who facilitates an Introduction between two other Users.
- "Card" means a Pro Card or Passion Card representing a User's capability, skill, or interest.
- "Connection" means a mutual relationship between two Users on the Platform, with recorded provenance.
- "Content" means any information, data, text, images, or other materials submitted, posted, or transmitted through the Services.
- "Introduction" means a brokered connection facilitated through our introduction protocol.
- "Passion Card" means a Card representing a User's personal interests or non-professional expertise.
- "Pro Card" means a Card representing a User's professional capabilities or services.
- "Provenance" means the recorded origin and history of how a Connection was formed (e.g., import, tap, introduction, direct request).
- "Pulse" means a request broadcast by a User seeking recommendations (either "Hire" for services or "Ask" for advice).
- "Shadow Profile" means a minimal data record created when an existing User suggests a non-User.
- "User" means any individual who creates an Account and uses the Services.
- "Vouch" means an endorsement given by one User for another User's Card.
2. Description of Services
2.1 Nature of Ouech
Ouech is a relationship utility network—not a social network, professional network, or marketplace. Ouech enables Users to:
- Build and maintain a trusted network of Connections with recorded provenance
- Create Cards representing their professional and personal capabilities
- Broadcast Pulses (requests for recommendations) to their network
- Suggest contacts and facilitate Introductions
- Vouch for others' capabilities to build card-level reputation
- Search and discover trusted people within their network
2.2 Platform Role
Ouech is a technology platform that facilitates connections between Users. We do not:
- Verify the accuracy of User-provided information, Cards, or Vouches
- Guarantee the quality, qualifications, or reliability of any User
- Endorse, employ, or contract with any User
- Participate in or guarantee the outcome of any Introduction or interaction
- Provide professional, legal, medical, financial, or other advice
Users are solely responsible for their interactions with other Users and must independently verify any information before relying on it.
2.3 Service Availability
We strive to maintain continuous availability but do not guarantee uninterrupted access. Services may be temporarily unavailable for maintenance, updates, or circumstances beyond our control.
3. Eligibility and Account Registration
3.1 Eligibility Requirements
To use our Services, you must:
- Be at least 16 years of age
- Have the legal capacity to enter into a binding contract
- Not be prohibited from using the Services under applicable law
- Not have been previously banned or removed from the Platform
3.2 Account Registration
- You must register using a valid phone number that you own or control
- You must provide accurate, current, and complete information
- You may only maintain one Account per person
- You may not transfer your Account to another person
3.3 Account Security
- You are responsible for maintaining the security of your Account
- You must notify us immediately of any unauthorized access or use
- You are responsible for all activity that occurs under your Account
- We are not liable for any loss or damage arising from your failure to protect your Account
3.4 Identity Verification
We reserve the right to require identity verification at any time. Failure to provide satisfactory verification may result in Account suspension or termination.
4. Acceptable Use Policy
4.1 Prohibited Conduct
You agree not to engage in any of the following prohibited activities:
Account and Identity Violations
- Creating fake, misleading, or impersonating Accounts
- Creating multiple Accounts to circumvent restrictions
- Providing false or misleading information in your profile or Cards
- Impersonating another person or entity
Trust System Manipulation
- Creating fake or fraudulent Vouches
- Soliciting, buying, or selling Vouches
- Coordinating with others to artificially inflate reputation
- Creating fake Cards or misrepresenting capabilities
- Manipulating the Introduction protocol for fraudulent purposes
Harmful Behavior
- Harassing, threatening, or intimidating other Users
- Posting defamatory, abusive, or discriminatory content
- Stalking or unwanted contact with other Users
- Sharing another User's personal information without consent
Spam and Abuse
- Sending unsolicited or excessive Pulses, suggestions, or invitations
- Using the Platform for advertising without authorization
- Circumventing rate limits or anti-spam measures
- Automating access without our written permission
Illegal Activities
- Using the Services for any illegal purpose
- Promoting or facilitating illegal activities
- Offering illegal services through Cards or Pulses
- Money laundering, fraud, or financial crimes
Technical Violations
- Attempting to access, probe, or test the vulnerability of our systems
- Circumventing security measures or access controls
- Interfering with or disrupting the Services
- Reverse engineering, decompiling, or disassembling any part of the Services
- Scraping, crawling, or automated data collection without permission
4.2 Rate Limits
To maintain Platform integrity, we enforce rate limits on various activities including invitations, Pulses, suggestions, and connection requests. Attempting to circumvent these limits is a violation of these Terms.
4.3 Reporting Violations
You may report violations of these Terms through the in-app reporting feature or by contacting abuse@ouech.co. We investigate reports and take appropriate action.
5. User Content and Intellectual Property
5.1 Your Content
You retain ownership of Content you submit to the Services ("User Content"). However, by submitting User Content, you grant us the following license:
License Grant: You grant Techbay SARL-AU a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, distribute, and display your User Content in connection with operating and providing the Services, including for promotional purposes.
This license continues even after you stop using our Services, to the extent necessary for us to continue providing Services to other Users (e.g., maintaining introduction records, anonymized vouch counts).
5.2 Content Representations
By submitting User Content, you represent and warrant that:
- You own or have the necessary rights to submit the Content
- The Content does not infringe any third-party rights
- The Content does not violate any applicable law
- The Content is accurate and not misleading
5.3 Content Moderation
We reserve the right, but have no obligation, to monitor, edit, or remove any User Content that violates these Terms or that we find objectionable, in our sole discretion, without prior notice.
5.4 Ouech Intellectual Property
The Services, including all software, design, graphics, interfaces, text, and other content created by us (excluding User Content), are owned by Techbay SARL-AU and protected by copyright, trademark, and other intellectual property laws.
"Ouech," the Ouech logo, and other Ouech trademarks are the property of Techbay SARL-AU. You may not use our trademarks without our prior written permission.
5.5 Limited License to You
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial purposes. This license does not include the right to:
- Modify, copy, or create derivative works of the Services
- Sell, resell, license, or commercially exploit the Services
- Reverse engineer or attempt to extract source code
- Remove any copyright, trademark, or proprietary notices
5.6 Feedback
If you provide us with feedback, suggestions, or ideas ("Feedback"), you assign all rights in such Feedback to us. We may use Feedback without restriction or obligation to you.
6. Trust Network Terms
THE FOLLOWING TERMS ARE CRITICAL TO UNDERSTANDING YOUR USE OF OUECH. PLEASE READ CAREFULLY.
6.1 Vouching System Disclaimer
VOUCHES ARE PERSONAL OPINIONS, NOT OUECH ENDORSEMENTS.
- Vouches represent the subjective opinion of the User who gave them
- Ouech does not verify, validate, or endorse any Vouch
- Ouech does not verify the accuracy of Cards or claimed capabilities
- Vouch counts and Card tiers are aggregated signals, not guarantees of quality
- You rely on Vouches and Cards at your own risk
OUECH EXPRESSLY DISCLAIMS ANY LIABILITY FOR:
- The accuracy, truthfulness, or reliability of any Vouch
- The quality or qualifications of any User or their claimed capabilities
- Any decisions you make based on Vouches or Cards
- Any loss, damage, or harm resulting from reliance on Vouches
6.2 Introduction Protocol
Our Introduction protocol enables Brokers to facilitate connections. By participating:
- As a Broker: You voluntarily choose to facilitate Introductions. You are responsible for your own judgment in making Introductions. Ouech is not liable for the outcome of any Introduction you facilitate.
- As a Requester: You understand that Introductions are facilitated by other Users, not by Ouech. You must independently verify any information and qualifications.
- As a Suggested Person: You may decline any Introduction request. Accepting an Introduction does not create any obligation.
Ouech facilitates the technology for Introductions but does not participate in, guarantee, or assume responsibility for the outcome of any Introduction or subsequent interaction.
6.3 No Professional Verification
OUECH DOES NOT VERIFY PROFESSIONAL CREDENTIALS, LICENSES, QUALIFICATIONS, OR BACKGROUNDS.
- Pro Cards represent User-claimed capabilities, not verified credentials
- Vouches do not constitute professional certification or endorsement
- Users seeking professional services (legal, medical, financial, etc.) must independently verify qualifications and licenses
- Ouech is not liable for any harm resulting from unverified professional claims
6.4 User Interactions
You are solely responsible for your interactions with other Users. Ouech is not a party to any agreement, transaction, or dispute between Users. We are not responsible for:
- The conduct, whether online or offline, of any User
- Any transaction or agreement between Users
- Disputes, claims, or damages arising from User interactions
7. Shadow Profiles
7.1 What Are Shadow Profiles
When an existing User suggests someone who is not yet on Ouech, we create a Shadow Profile. Shadow Profiles contain minimal information (name, phone number, context) to facilitate potential Introductions if the person joins.
7.2 Shadow Profile Terms
- Shadow Profiles are not User Accounts
- Individuals with Shadow Profiles have not agreed to these Terms
- Shadow Profiles are created based on information provided by existing Users
- We send limited invitation communications (subject to opt-out)
7.3 Rights of Shadow Profile Subjects
If a Shadow Profile exists for you:
- You may opt out of receiving further communications
- You may request deletion of your Shadow Profile
- You may claim and control your profile by joining Ouech

8. Fees and Payments
8.1 Current Pricing
The Services are currently provided free of charge. We reserve the right to introduce fees or premium features in the future.
8.2 Future Paid Features
If we introduce paid features:
- We will clearly disclose pricing before you incur any charges
- Payment terms will be presented at the time of purchase
- You will have the option to continue using free features
- These Terms will be updated to reflect payment terms
8.3 Third-Party Charges
You are responsible for any charges from your mobile carrier or internet provider for data usage associated with the Services.
9. Disclaimers
9.1 "As Is" and "As Available"
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
TO THE FULLEST EXTENT PERMITTED BY LAW, OUECH DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
- IMPLIED WARRANTIES OF MERCHANTABILITY
- FITNESS FOR A PARTICULAR PURPOSE
- NON-INFRINGEMENT
- ACCURACY, RELIABILITY, OR COMPLETENESS
- UNINTERRUPTED OR ERROR-FREE OPERATION
- SECURITY OR FREEDOM FROM VIRUSES OR HARMFUL CODE
9.2 User Content Disclaimer
WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR USEFULNESS OF ANY USER CONTENT, INCLUDING BUT NOT LIMITED TO:
- Information in User profiles or Cards
- Vouches, recommendations, or endorsements
- Claims about professional capabilities or qualifications
- Any information exchanged between Users
9.3 No Professional Advice
THE SERVICES DO NOT CONSTITUTE AND SHOULD NOT BE CONSTRUED AS PROFESSIONAL, LEGAL, MEDICAL, FINANCIAL, OR OTHER ADVICE. Always consult qualified professionals for specific advice related to your situation.
9.4 Third-Party Services
The Services may contain links to or integrations with third-party services. We do not endorse, control, or assume responsibility for any third-party services or content.
10. Limitation of Liability
10.1 Exclusion of Damages
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TECHBAY SARL-AU, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR:
- ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
- DAMAGES RESULTING FROM YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICES
- DAMAGES RESULTING FROM ANY CONDUCT OR CONTENT OF ANY THIRD PARTY OR USER
- DAMAGES RESULTING FROM UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR CONTENT OR DATA
- DAMAGES RESULTING FROM ANY VOUCH, INTRODUCTION, OR INTERACTION BETWEEN USERS
THIS APPLIES WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.
10.2 Liability Cap
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES EXCEED:
- The amounts you have paid to us in the twelve (12) months preceding the claim, OR
- One Hundred Euros (€100), whichever is greater
10.3 Essential Basis of Agreement
You acknowledge that the limitations of liability in this Section reflect the allocation of risk between you and Ouech and are an essential basis of the bargain between us. Ouech would not provide the Services without these limitations.
10.4 Jurisdictional Limitations
Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.
11. Indemnification
You agree to indemnify, defend, and hold harmless Techbay SARL-AU and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:
- Your access to or use of the Services
- Your User Content
- Your violation of these Terms
- Your violation of any third-party rights, including intellectual property rights
- Your violation of any applicable law or regulation
- Any Vouches you give or receive
- Any Introductions you participate in
- Your interactions with other Users, whether online or offline
- Any dispute between you and another User
- Any claim by a third party related to your use of the Services
We reserve the right to assume exclusive defense and control of any matter subject to indemnification by you, at your expense. You agree to cooperate with our defense of such claims.
12. Dispute Resolution
12.1 Informal Resolution
Before initiating any formal dispute resolution, you agree to first contact us at legal@ouech.co and attempt to resolve the dispute informally for at least thirty (30) days.
12.2 Binding Arbitration
IF WE CANNOT RESOLVE THE DISPUTE INFORMALLY, ANY DISPUTE, CONTROVERSY, OR CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL BE FINALLY SETTLED BY BINDING ARBITRATION.
Arbitration Rules
- Rules: Arbitration shall be administered by the International Chamber of Commerce (ICC) under its Arbitration Rules
- Seat: Casablanca, Morocco
- Language: French or English, at the claimant's election
- Arbitrators: One (1) arbitrator for claims under €50,000; three (3) arbitrators for larger claims
- Confidentiality: The arbitration proceedings and award shall be confidential
Arbitration Limitations
- The arbitrator may award only individual relief and may not consolidate claims
- The arbitrator shall apply these Terms and applicable law
- The arbitrator's award shall be final and binding
- Judgment on the award may be entered in any court of competent jurisdiction
12.3 Exceptions to Arbitration
Notwithstanding the above, either party may:
- Seek injunctive or other equitable relief in any court of competent jurisdiction to prevent imminent, irreparable harm
- Bring claims in small claims court if the claim qualifies
For injunctive relief, the courts of Agadir, Morocco shall have exclusive jurisdiction, subject to applicable mandatory consumer protection laws that may grant jurisdiction to courts in your country of residence.
12.4 Class Action Waiver
YOU AND OUECH AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION.
The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.
12.5 Time Limitation
Any claim or cause of action arising out of or related to these Terms or the Services must be filed within one (1) year after such claim or cause of action arose, or it shall be forever barred.
13. Termination
13.1 Termination by You
You may terminate your Account at any time by:
- Using the account deletion feature in the app, or
- Contacting us at support@ouech.co
13.2 Termination by Ouech
We may suspend or terminate your Account and access to the Services at any time, with or without cause or notice, including if:
- You violate these Terms
- We believe your conduct may cause harm to us, other Users, or third parties
- We are required to do so by law
- We discontinue the Services
13.3 Effect of Termination
Upon termination:
- Your right to access and use the Services immediately ceases
- We may delete your Account data in accordance with our Privacy Policy
- Vouches you gave may be anonymized and retained
- Historical introduction records may be retained in anonymized form
- You remain liable for any obligations incurred prior to termination
13.4 Surviving Provisions
The following sections survive termination: Definitions, User Content and Intellectual Property, Trust Network Terms, Disclaimers, Limitation of Liability, Indemnification, Dispute Resolution, Governing Law, and any other provisions that by their nature should survive.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Kingdom of Morocco, without regard to its conflict of law provisions.
Notwithstanding the above, if you are a consumer residing in the European Union, you may also benefit from mandatory consumer protection laws of your country of residence. Nothing in these Terms affects your rights as a consumer to rely on such mandatory provisions of local law.
15. Changes to Terms
15.1 Right to Modify
We reserve the right to modify these Terms at any time.
15.2 Notice of Changes
- Material Changes: We will provide at least thirty (30) days' notice before material changes take effect, via in-app notification, email, or prominent posting.
- Minor Changes: We will update the "Effective Date" and "Version" at the top of these Terms.
15.3 Acceptance of Changes
Your continued use of the Services after the effective date of any changes constitutes your acceptance of the modified Terms. If you do not agree to any changes, you must stop using the Services and may terminate your Account.
16. Miscellaneous Provisions
16.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Ouech regarding the Services and supersede all prior agreements and understandings.
16.2 Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
16.3 No Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by Ouech.
16.4 Assignment
You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
16.5 Force Majeure
We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
16.6 Electronic Communications
By using the Services, you consent to receiving electronic communications from us. You agree that all agreements, notices, disclosures, and other communications provided electronically satisfy any legal requirement that such communications be in writing.
16.7 Language
These Terms are drafted in English. If translated into another language, the English version shall prevail in case of any inconsistency.
16.8 Headings
Section headings are for convenience only and shall not affect the interpretation of these Terms.
